These Terms of Service ("Terms") are a contract between you and Dawnwood Inc., a Delaware corporation ("Dawnwood", "we", "us"). They govern your use of dawnwood.ai, the Dawnwood console at console.dawnwood.ai, our APIs and command-line / agent interfaces, and our done-for-you production service (together, the "Services"). By creating an account or using the Services you agree to these Terms and to our Privacy Policy.
Dawnwood is an AI production platform for serialized vertical drama: self-serve tools in the console (script and season generation, character and scene tools, rendering, editing), done-for-you "runs" produced by our team, and optional publishing of finished episodes to social platforms you connect. Features, free tiers and prices are described on our site and in the console and may evolve.
You must be at least 18 years old. Keep your credentials secure; you are responsible for activity under your account. Provide accurate account information and keep it current.
You keep ownership of everything you upload ("Input"). You grant us a license to host, process, reproduce and modify Input solely to operate the Services and produce your work — including sending it to the AI model providers and social platforms involved in fulfilling your instructions. You represent that you have all rights and consents needed for your Input, including the consent of any real person whose likeness or voice appears in it, and that it does not infringe others' rights or violate law.
Subject to payment for the applicable plan or run, Dawnwood assigns to you its rights in the finished outputs delivered to you ("Output"). You are responsible for how you use Output. Note that AI-generated material may be similar to material generated for others from similar prompts, may contain errors, and may have limited or no copyright protection in some jurisdictions — we do not warrant registrability or exclusivity of AI-generated elements. Third-party model providers' terms may also apply to specific generations. All Output is AI-generated; delivery packs include a provenance manifest and AI-content disclosure, and you must not remove the AI labels we apply when distributing Output.
The Acceptable Use Policy is part of these Terms and spells out the rules below in detail (real-person likeness and consent, minors, sexual and violent content, deception, one account per person). You may not use the Services to:
If you connect a YouTube, TikTok, Instagram or Facebook account, you authorize Dawnwood to publish the content you select to that account and to retrieve publish status and post metrics, until you disconnect the account or revoke access. You remain the publisher of record: you are responsible for the content you post and for complying with each platform's terms and community guidelines. Where a platform requires synthetic-media disclosure, we apply the platform's AI-content labels to what we publish on your behalf, where the platform's API supports them. Use of YouTube features is also subject to the YouTube Terms of Service. We are not responsible for a platform's moderation, ranking, monetization or availability decisions.
If you believe content on the Services infringes your copyright, send a notice with the material's location, your contact information, a description of the work, and a good-faith statement to legal@dawnwood.ai. We respond to valid notices, including removing content and closing repeat infringers' accounts.
You may stop using the Services and request account deletion at any time. We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, create legal risk, or remain unpaid, with notice where practicable. Credits on an account terminated for violating the Acceptable Use Policy are forfeited, including purchased credits; refunds owed for failed renders are unaffected. Sections that by their nature survive (including 5, 6, 9, 11–14) survive termination.
The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that generated content will meet your requirements.
To the fullest extent permitted by law, Dawnwood will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill. Our total liability for all claims relating to the Services is limited to the greater of $100 and the amount you paid us in the twelve months before the claim arose.
You will defend and indemnify Dawnwood against claims arising from your Input, your use of Output, or your breach of these Terms.
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
We may update these Terms; we will post changes here and update the date above, and for material changes we will notify you by email or in the console before they take effect. Continuing to use the Services after changes take effect means you accept them.
